This Agreement contains the terms and conditions that apply to your site use and purchases from the Biolectrix  LLC, Inc. entity named on the invoice ("Biolectrix LLC") that will be provided to you ("Customer") for products sold in the United States. By accepting delivery of the products described on that invoice, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS APPLY (i) UNLESS THE CUSTOMER HAS SIGNED A SEPARATE FORMAL PURCHASE AGREEMENT WITH BIOLECTRIX LLC, IN WHICH CASE THE SEPARATE AGREEMENT SHALL GOVERN; OR (ii) UNLESS OTHER BIOLECTRIX LLC STANDARD TERMS APPLY TO THE TRANSACTION. These terms and conditions are subject to change without prior written notice at any time, in Biolectrix LLC's sole discretion.

1. Other Documents. These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and Biolectrix LLC.

2. Governing Law. THIS AGREEMENT AND ANY SALES THEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES.

3. Site Content. All content included on this site, including site design, text, graphics, logos, button icons, and images, and the selection and arrangements thereof is the property of Biolectrix LLC and/or its suppliers and protected by United States and international copyright laws. All rights reserved. Permission is granted to electronically copy and print hard copy portions of this site for the sole purpose of placing an order with Biolectrix LLC or purchasing Biolectrix LLC products. All content on this site such as product descriptions and references to blogs and articles is informational in nature and is not to be taken as medically or scientifically proven. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, spiders or similar data gathering and extraction tools. This site or any portion of this site may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Biolectrix LLC.

5. Products.  Biolectrix LLC’s policy is one of on-going product update and revision. Biolectrix LLC may revise and discontinue products at any time. Biolectrix LLC reserves the right to limit order quantity at any time without notice. Prices and promotions are subject to change without notice. Biolectrix LLC and its suppliers attempt to be as accurate as possible with product descriptions. However, Biolectrix LLC does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Biolectrix LLC is not as described, the Customer’s  sole remedy is to return it in unused condition.

6. Payment Terms; Orders; Quotes; Interest. Terms of payment are within Biolectrix LLC 's sole discretion, and unless otherwise agreed to by Biolectrix LLC, payment must be received by Biolectrix LLC prior to Biolectrix LLC’s acceptance of an order. Payment for the products will be made by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Biolectrix LLC. Invoices are due and payable within the time period noted on the reverse side of this invoice, measured from the date of the invoice. Biolectrix LLC may invoice parts of an order separately. Orders are not binding upon Biolectrix LLC. until accepted by Biolectrix LLC. Any quotations given by Biolectrix LLC will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the appropriate rate allowed by law.

7. Shipping Charges; Taxes. Separate charges for shipping and handling will be shown on Biolectrix LLC 's invoice(s). Unless Customer provides Biolectrix LLC. with a valid and correct tax exemption certificate applicable to the product ship-to location prior to Biolectrix LLC 's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, however designated, except for Biolectrix LLC’s taxes and taxes on Biolectrix LLC’s net income. If applicable, a separate charge for taxes will be shown on Biolectrix LLC's invoice.

8. Title; Risk of Loss. Title to products passes from Biolectrix LLC to Customer on shipment from Biolectrix LLC’s facility. Loss or damage that occurs during shipping by a carrier selected by Biolectrix LLC, Inc. is Biolectrix LLC's responsibility. Loss or damage that occurs during shipping by an alternative carrier specifically selected by Customer is Customer's responsibility.

9. Your Account. Customer is responsible for maintaining the confidentiality of his account and password and for restricting access to your computer. Customer agrees to accept responsibility for all activities that occur under Customers account and password.

10. Warranties, Disclaimers.

BIOLECTRIX LLC. IS PROVIDING THIS SITE AND ITS CONTENTS ON AN "AS IS" BASIS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THIS SITE OR ITS CONTENTS. BIOLECTRIX LLC. DISCLAIMS ALL SUCH REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF' MECHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN ADDITION, BIOLECTRIX LLC DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA THIS SITE IS ACCURATE, COMPLETE OR CURRENT. 12. Limitation of Liability. BIOLECTRIX LLC DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES SET FORTH HEREIN, INCLUDING ANY LIABILITY FOR PRODUCTS FOR ANY REASON. BIOLECTRIX LLC WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. 13. Arbitration. Any claim, dispute or controversy (whether in contract, tort, or otherwise, whether pre-existing, present or future, and including statutory, common law, intentional tort and equitable claims) against Biolectrix LLC its agents, employees, successors, assigns or affiliates (collectively for purposes of this paragraph, " Biolectrix LLC") arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), Biolectrix LLC's advertising, any related purchase, including the validity of this arbitration clause shall be resolved exclusively and finally by binding arbitration administered by the National Arbitration Forum (NAF) under its Code of Procedure then in effect (available via the Internet at http://www.arb-forum.com ). The arbitration will be conducted before a single arbitrator, and will be limited solely to the dispute or controversy between Customer and Biolectrix LLC. The arbitration shall be held in Marin County, California at the office of Biolectrix LLC, by telephone, or online. Any award of the arbitrator(s) shall be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction.

14. Applicable Law; Not For Resale. Customer agrees to comply with all applicable laws and regulations of the various states and of the United States. Customer agrees and represents that it is buying for its own internal use only, and not for resale. Biolectrix LLC has separate terms and conditions governing resales.

15. Acceptance. By ordering any product from Biolectrix LLC, whether by clicking through over the internet, telephone, facsimile or otherwise, the customer agrees to be bound by these Terms and Conditions of Sale.
